Terms of Service
  1. It is the mission of the AgentAssistant, Inc hereafter (AA) to improve the lead quality of Real Estate Agents through the development of technology and processes which save agents time and money while improving the conversion rate of their existing leads.
  2. AA agrees to provide the Agent/Subscriber hereafter (Subscriber) with tools and services including AI based Texting, live texting and Outbound calling to incoming leads of sources that the Subscriber provides to AA. We can connect through varied sources, including direct integration with a lead provider, email parsing, or other means. Additional tools and services under development will be released as completed and become available to the Subscriber either included in the subscription or on an optional basis.
  3. The Subscriber understands and agrees that all consulting performed by AA, on behalf of the Subscriber requires that the Subscriber must and shall provide access to a lead source, or multiple lead-sources to AA pertinent to any such consulting work in a timely manner. The Subscriber further understands and agrees that inaccuracy or incompleteness of such information and documents may have a material effect on the work performed on behalf of the Subscriber by AA. Once the Subscriber’s lead sources are connected AA will make best efforts to contact the Subscriber’s leads in a timely fashion through texting, AI and calling. AA is not responsible for the quality of the lead sources and accuracy of the data that they provide to AA.
  4. AA is not responsible for lead source disconnects as a result of changes made by the Subscriber after an initial connection has been made.
  5. AA agrees that it will keep confidential, and will not copy or disclose to any third party, any information designated by the Subscriber as “Confidential” or “Proprietary” regarding their marketing systems or company information provided to AA, or the contents of such material, in whole or in part, without the prior consent of the Subscriber. However, by posting, uploading, inputting, providing or submitting materials you are granting AA permission to use your submission in connection with the operation of their Internet business including, without limitation, rights to: copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate and reformat your submission; and to publish your name in connection with your submission to enable AA to communicate with the Subscriber’s leads and promote the Subscriber in accordance with the plan or service chosen.
  6. By posting, uploading, inputting, providing or submitting your submission or lead-source you warrant and represent that you own or otherwise control all rights to your submission and give lawful permission for AA to contact these leads and use the materials provided.
  7. The Subscriber understands and agrees the term of the subscription service begins on the date that the terms of service are agreed too.
  8. The Subscriber understands that by providing their credit card they will charged according the plan terms that they agree too.
  9. The Subscriber acknowledges, understands, and agrees that together the Subscription Service Agreement, the Description of Subscription Services, and the Subscription Service Fee Schedule shall constitute The Subscription Service Agreement and Contract.
  10. Monthly plans will be charged once every month and once charged the fee is non refundable. A monthly plan can be canceled at any time before the next bill date. Once charged the fee is non-refundable unless a cancel or modification of the account was made by the Subscriber prior to the bill date.
  11. Annual plans are billed once a year according to the terms of the product or service described a discount or extend time period may apply. Annual plans are non-refundable. When an annual plan has expired it will revert to automated monthly billing.
  12. Pre-Paid monthly plans will be billed according to the terms of the plan and are non-refundable. When the plan has expired it will revert to automated monthly billing.
  13. Plans over 200 leads monthly, including free trials, are charged an additional $250/month per 50 leads over 200. Example: Free trial plan that services 245 leads in a month would be charged $0+$250. A paid plan that services 245 leads in a month would be charged $999+$250.
  14. Lead Overage Policy: Every plan is allowed 5 free leads over their monthly plan size at no additional cost. More than 5 leads over the monthly allotment will result in a $75 charge. 25 or more leads over the allotment will result in an automatic plan increase to the correctly sized plan based on previous month lead volume. The overage policy also applies towards upfront plans. 25 or more leads over the upfront plan monthly allotment will result in an overage charge equal to the monthly amount for the correctly sized plan minus the plan amount already paid for in the upfront payment. For example, an upfront 25/mth lead plan that sends us 50 leads in a month, will be charged $100 = $399 (next plan size 50/mth) - $299 (already paid from current upfront plan).
  15. The Subscriber agrees that the liability of AA and of its agents and employees for any claims of damages, costs of defense and suit, attorney’s fees, or expenses arising out of any information provided to or work performed on behalf of the Subscriber by AA shall be limited to an amount of a pro-rated portion of the remainder of the subscription fee at the time such liability is assessed. The subscriber agrees to indemnify and hold AA and its agents and employees harmless for all damages and liability related to the Subscribers leads and the Subscribers business practices and service. On Free subscriptions the liability is $0. Free subscriptions are not exchangeable for cash refunds or refunds of any kind. Accounts past due will incur a $10 late fee and a 1.5% finance charge until paid. Accounts over 30 days past due are subject to collections and will incur a collection fee. If you exceed your monthly plan limit, overage fees will apply.
  16. The Subscriber hereby expressly waives any cause of action against AA Member/Managers personally, excluding solely willful misconduct, for any and all liability related to any oral statements or written consulting service work provided by AA on behalf of the Subscriber. The Subscriber agrees to indemnify AA Members/Managers personally for any and all causes of action, including costs of defense and attorney’s fees, related to or arising from any claim brought by the Subscriber or the Subscriber’s customers or clients against AA or against any or all AA Member/Managers personally.
  17. All contents of the AA websites are protected by Copyright and Trademark and may not be used without written permission from AA. AA is not a “Referral” service. AA provides a platform for information, and scheduling of appointments for a Real Estate Agents and other services that are described.
  18. The Subsciber receives a unique phone number to use for inbound calls which is exclusively owned by The Subscriber for the duration of the agreement.
  19. AA reserves the right to change (meaning add, modify or delete) any part of the AA service to subscriber. Subscriber may opt out of the service after such notification to AA directly.
  20. This agreement and the relationship between Subscriber and AA shall be governed by the laws of the State of Georgia without regard to its conflict of law provisions.
  21. If any portion of this Agreement is held to be invalid, its invalidity will not affect the validity or enforceability of any other provision of this Agreement.
  22. Subscriber agrees that any information provided through the AA Service are subject matter expert opinions and may be wrong, even if/when backup authoritative references are provided. The information is deemed reliable, however, users are encouraged to verify information and seek second opinions from local experts. AA Service is not responsible for any authorized or unauthorized use of its support information provided to subscribers or performance of any contractor or serviceperson whether their contact information was provided by AA or not.
  23. AA is a “Customer Success” organization. Your contact information will be treated with the greatest respect. You will receive an on board appointment along with a Welcome Call from a AA Representative as confirmation of the acceptance of membership to enable (or not) capability of the “We book showings, you sell homes” service and other functions. Your AA Representative will assist you in setting up your account, connecting the AA platform to your lead-sources if the lead-source has the ability to be connected to. Just ask your Rep for assistance with anything related to your account. AA will, from time to time, send newsletters and emails with useful information, benefits and offers for subscribers to consider. AA does not sell your email or other personal information to any Agents. You may contact us to opt out at any time or simply use the opt-out function in one of AA’s emails.
  24. If your service plan with Agent Assistant was handling your Inbound calls on a provided and dedicated forwarded line, you are solely responsible for removing that phone number from all of your lead source profiles. If leads continue to come in via the Inbound phone number, Agent Assistant will continue to assist those lead calls and you will be responsible for payment of this service due to Agent Assistant. Charges for this service after cancelling your service with Agent Assistant will incur a $5 per lead put through our system, or our current individual lead price outside of a plan, whichever is higher, at the time of lead receipt.
  25. All AA Subscriptions regardless of service level are individual and are not transferable.
  26. ListingBoost: ListingBoost is non contract advertising service that automatically promotes your selected listing or listings and future listings for a flat fee per listing. The fee is charged when the ad goes live and each listing is automatically added. The fee is non-refundable once the ad goes live. There are no recurring fees other than the fee paid when a listing goes live. The service can be paused or canceled at any time by contacting us at [email protected]
  27. Agent will pay AA the standard fees. Current pricing info can be viewed at the agentassitant.com website or you can email [email protected] anytime. The monthly fee is based on lead-count.
  28. All payments will be non-refundable. AA does not provide pro-rated price adjustments based on pricing changes.

  30. Subscriber is responsible to discontinue sending leads to AA and AA is not responsible for these leads in any way after termination.
